Subscription Agreement

This Gridz Subscription Agreement is entered into between you and the developer of Gridz. This Agreement governs your use of the paid subscription services provided through the Gridz App, a lightweight Sudoku game application for iOS devices. By purchasing or using the Subscription Services, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Agreement, as well as our Gridz User Agreement and Privacy Policy (which are incorporated herein by reference). If you do not agree to any part of these terms, please do not purchase or use the Subscription Services.

1. Subscription Services Overview

1.1 The Subscription Services provide you with enhanced features and benefits within the App, which may include but are not limited to: ad-free gaming experience, access to premium background template packages, unlimited game progress backups, and priority customer support (collectively, the "Premium Benefits"). The specific Premium Benefits included in each subscription tier are detailed in the App’s in-app purchase interface at the time of your subscription.

1.2 The Subscription Services are available in multiple tiers with different billing cycles, including but not limited to weekly, monthly, and annual subscriptions (each, a "Subscription Term"). The applicable subscription fee and billing cycle will be clearly displayed to you prior to your purchase of the Subscription Services.

2. Subscription Purchase and Billing

2.1 All purchases of the Subscription Services are processed through Apple’s official in-app purchase system. By initiating a subscription purchase, you authorize Apple to charge the subscription fee to your designated payment method (e.g., Apple ID balance, credit card linked to your Apple ID) in accordance with Apple’s payment terms.

2.2 The subscription fee is non-refundable, except as required by applicable law or in the event of a material breach of this Agreement by us that cannot be remedied. You acknowledge that we do not control Apple’s payment processing and shall not be liable for any delays, failures, or errors in payment processing by Apple.

2.3 Prior to completing your subscription purchase, you will have the opportunity to review the total subscription fee, billing cycle, and renewal terms. By confirming the purchase, you agree to the applicable fee and billing terms.

3. Subscription Renewal and Cancellation

3.1 Your subscription will automatically renew at the end of each Subscription Term for an additional term of the same length, at the then-current subscription fee (which may be subject to change, with prior notice as required by law). You will be charged for the renewed subscription through your designated payment method within 24 hours prior to the end of the current Subscription Term.

3.2 To avoid automatic renewal, you must cancel your subscription at least 24 hours before the end of the current Subscription Term. You can cancel your subscription at any time by following these steps: Open the Settings app on your iOS device > Tap your name > Tap "Subscriptions" > Select "Gridz" > Tap "Cancel Subscription" (or "Cancel Free Trial", if applicable). Cancellation will take effect at the end of the current Subscription Term, and you will continue to have access to the Premium Benefits until the end of that term.

3.3 Free trial periods (if offered) will automatically convert to a paid subscription at the end of the trial period unless you cancel the subscription prior to the end of the trial. You will not be charged during the free trial period, but you will be charged for the first Subscription Term if you do not cancel before the trial ends.

4. Access to Subscription Services

4.1 Upon successful payment of the subscription fee, you will gain immediate access to the Premium Benefits for the duration of the Subscription Term. Access to the Subscription Services is limited to your personal use on your own iOS devices.

4.2 We reserve the right to suspend or terminate your access to the Subscription Services if you violate any terms of this Agreement, the Gridz User Agreement, or applicable laws. If we terminate your access due to your breach, you will not be entitled to a refund of any portion of the subscription fee.

4.3 We may temporarily suspend access to the Subscription Services for scheduled maintenance, technical updates, or other reasons necessary to maintain the quality of the service. We will make reasonable efforts to notify you of any planned suspensions in advance, unless the suspension is due to an emergency.

5. Modifications to Subscription Services

5.1 We may update or modify the Premium Benefits included in the Subscription Services from time to time. We will not reduce the core Premium Benefits during an active Subscription Term without providing you with a proportional refund or extension of the Subscription Term.

5.2 We may change the subscription fee for future Subscription Terms. If we increase the fee, we will provide you with notice of the change at least 30 days prior to the renewal date. If you do not agree to the fee increase, you may cancel your subscription before the renewal date to avoid being charged the new fee.

6. Data and Privacy

6.1 Your use of the Subscription Services is subject to our Gridz Privacy Policy. We do not collect or store any personal data related to your subscription beyond the information processed by Apple IAP (which is governed by Apple’s privacy policy).

6.2 Any data generated through your use of the Subscription Services (e.g., game progress backups) is stored locally on your iOS device, unless explicitly stated otherwise in the Premium Benefits description. We do not access or share this data with third parties, except as required by law.

7. Disclaimer of Warranties

7.1 The Subscription Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Subscription Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Subscription Services will be uninterrupted, error-free, or free of viruses or other harmful components.

7.2 Your use of the Subscription Services is at your own risk. We shall not be liable for any damages or losses arising from your use of or inability to use the Subscription Services, except as required by applicable law.

8. Limitation of Liability

8.1 To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of profits, data, or goodwill) arising out of or in connection with this Agreement or your use of the Subscription Services, regardless of the legal theory of liability.

8.2 Our total liability to you for any claims arising out of or in connection with this Agreement shall not exceed the total amount of subscription fees you have paid to us in the 12 months prior to the claim.

9. Termination

9.1 You may terminate your subscription at any time by following the cancellation steps outlined in Section 3.2. Termination will take effect at the end of the current Subscription Term.

9.2 We may terminate this Agreement and your access to the Subscription Services immediately without prior notice if you: (a) violate any term of this Agreement or the Gridz User Agreement; (b) engage in any fraudulent, illegal, or harmful activity in connection with the Subscription Services; or (c) fail to pay any subscription fees when due (though payment failures will typically be handled by Apple IAP).

9.3 Upon termination of this Agreement, your access to the Premium Benefits will cease, and you will not be entitled to a refund of any unused portion of the subscription fee, except as required by applicable law.

10. Changes to This Agreement

10.1 We may update this Agreement from time to time to reflect changes in the Subscription Services, applicable laws, or industry practices. We will notify you of any material changes by displaying a notification within the App or sending a message to your Apple ID email address (if available) at least 30 days prior to the changes taking effect.

10.2 Your continued use of the Subscription Services after the effective date of the revised Agreement will constitute your acceptance of the changes. If you do not accept the revised Agreement, you may cancel your subscription prior to the effective date of the changes to avoid being bound by the new terms.
